Several situations are possible in the event in which a company needs to be wound up and then dissolved and they refer to that company’s liabilities. The liquidation process focuses on settling any due debts and it is performed with the help of a liquidator.

Essential aspects of company winding up in Jersey
In the case of a company that has no liabilities or that can be paid in full as they are due, the winding up starts with a statement of solvency signed by each company manager. In this situation, it is essential that:
- the company will be able to pay its liabilities in full within 6 months of starting the process of company winding up in Jersey;
- the company will pay its liabilities that fall due 6 months past the closing process, as they become due.
Once the declaration of solvency is signed, the following takes place:
- Within 28 days of signing the statement, the managers obtain the approval of the company members for the legal entity’s summarily winding up;
- Within 21 days of getting the said approval, the managers issue a notice to the registrar containing the statement of solvency.

In order to close a company in Jersey, a liquidator will handle the payments to the creditors and will distribute any remaining assets to the company’s founders (if any still remain). Company liquidation in Jersey is a process handled by the liquidator who has the duty to make a transparent list of the company’s assets, pay the creditors, and handle the final distribution of assets.
Before you start to close a company in Jersey, you will also need to check if its tax obligations are up to date. This can be done via a special request submitted to Revenue Jersey and once this is received, the authorities will perform a check to verify if the legal entity that is about to be terminated has any outstanding tax liability.
The dissolution of the company (its effective removal from the Registrar) can take place once the liquidation steps are completed – thus ensuring that the company has no debts and liabilities – and once the liquidator has submitted a final report, together with a final statement.

A particular situation provided for in the Limited Liability Companies (Winding Up and Dissolution) Regulations 2022 is that of a limited liability company that was incorporated for a specific duration.
Our lawyers in Jersey list the main requirements for company liquidation in Jersey applicable in this case:
- The limited duration company is wound up and dissolved upon the expiry of its term. Alternatively, it can also be closed when a certain event occurs, as it may be specified in its articles of association;
- The winding up takes place within 21 days of the company’s expiry date or the occurrence of the event, if applicable;
